Acceptance of Terms<\/h4><p>By accessing or using the Abastyan website or platform, you agree to be bound by these Terms of Use and our Privacy Policy. If you are accessing or using the platform on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and the term &#8220;you&#8221; refers to that organization. If you do not agree to these Terms, you must not access or use the website or platform.<\/p><p>Where a client organization has executed a separate services agreement with Abastyan, that agreement governs the use of the platform by that organization and its authorized users. In the event of a conflict between that services agreement and these Terms, the services agreement controls.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-f32ada6 elementor-widget elementor-widget-text-editor\" data-id=\"f32ada6\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<h4>2. Description of Services<\/h4><p>Abastyan is a governance operating system for healthcare organizations that provides tools and workflows for compliance program management, risk and incident tracking, documentation and policy governance, vendor and business associate agreement management, training documentation, and AI governance oversight. The specific features and modules available to a client organization are set forth in the applicable services agreement.<\/p><p>Abastyan may also provide advisory services to client organizations under a separate engagement agreement. Advisory services are distinct from platform access and governed by the terms of that agreement.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-415aad0e elementor-widget elementor-widget-text-editor\" data-id=\"415aad0e\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<h4>3. Eligibility and Authorized Use<\/h4><p>The Abastyan website and platform are intended for use by healthcare organizations, health technology companies, their authorized compliance, risk, and administrative personnel, and parties conducting a bona fide evaluation of the platform. You must be at least 18 years of age to create an account or access the platform. Use of the platform is limited to lawful purposes and must comply with all applicable federal, state, and local laws and regulations.<\/p><p>Authorized use of the platform means use consistent with the purpose for which it is designed, the terms of your services agreement, and any usage documentation provided by Abastyan. Unauthorized use includes, without limitation, accessing the platform without authorization, attempting to circumvent security controls, using the platform to store or transmit unlawful content, or using the platform in a manner that interferes with its operation or the access of other clients.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-701f428f elementor-widget elementor-widget-text-editor\" data-id=\"701f428f\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<h4>4. Account Registration and Responsibilities<\/h4><p>To access the platform, authorized users must be provisioned by their client organization. Client organizations are responsible for: maintaining the accuracy of account and organizational information provided to Abastyan; managing the creation, modification, and deactivation of authorized user accounts; maintaining the confidentiality of account credentials; ensuring that authorized users comply with these Terms and any applicable usage policies; and all activity that occurs within their workspace, whether by authorized users or as a result of unauthorized access arising from failure to safeguard credentials.<\/p><p>You agree to notify Abastyan promptly at\u00a0<a href=\"mailto:support@abastyan.com\">support@abastyan.com<\/a>\u00a0if you become aware of any unauthorized access to or use of your account or workspace.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-722efc1c elementor-widget elementor-widget-text-editor\" data-id=\"722efc1c\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<h4>5. Content and Acceptable Use<\/h4><p><strong>Client content.<\/strong>\u00a0Client organizations and their authorized users may upload, create, and store content in the workspace in connection with their governance program. You retain ownership of your content. By uploading content to the platform, you grant Abastyan a limited, non-exclusive license to store, process, and display that content solely as necessary to deliver the services described in your services agreement.<\/p><p><strong>Prohibited content and conduct.<\/strong>\u00a0You agree not to upload, store, or transmit through the platform: Protected Health Information (PHI) as defined under HIPAA; content that is unlawful, defamatory, harassing, or fraudulent; content that infringes or misappropriates the intellectual property rights of any third party; malicious code, scripts, or software designed to damage, disable, or gain unauthorized access to any system; or content that you do not have the right to share. You further agree not to attempt to reverse engineer, decompile, or disassemble any component of the platform.<\/p><p><strong>No PHI.<\/strong>\u00a0The Abastyan platform is intentionally designed to operate without Protected Health Information. Uploading PHI to the workspace is a material violation of these Terms and your services agreement. Governance and compliance documentation can be maintained in the platform without including patient-identifying information.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-6a0b7cce elementor-widget elementor-widget-text-editor\" data-id=\"6a0b7cce\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<h4>6. Intellectual Property<\/h4><p><strong>Abastyan&#8217;s property.<\/strong>\u00a0The Abastyan platform \u2014 including its software, architecture, user interface, workflows, documentation, branding, trademarks, and all associated intellectual property \u2014 is the property of ReMyll LLC and its licensors. These Terms do not convey any ownership interest in the platform or any component of it. Access to the platform is granted on a limited, non-exclusive, non-transferable license basis for the duration of the applicable services agreement.<\/p><p><strong>Client&#8217;s property.<\/strong>\u00a0All content uploaded by a client organization and its authorized users remains the property of that organization. Abastyan makes no claim of ownership over client content. Upon termination of a services agreement, client content is made available for export in accordance with the terms of that agreement.<\/p><p><strong>Feedback.<\/strong>\u00a0If you provide Abastyan with feedback, suggestions, or ideas regarding the platform, you grant Abastyan the right to use that feedback without restriction, attribution, or compensation. Feedback is provided voluntarily and does not create any obligation on our part to implement or adopt any suggestion.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-d05be27 elementor-widget elementor-widget-text-editor\" data-id=\"d05be27\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<h4>7. Privacy<\/h4><p>Our collection, use, and handling of personal information in connection with the platform and website is described in our\u00a0<a href=\"https:\/\/corevatosolutions.com\/abastyan\/privacy-policy\/\">Privacy Policy<\/a>, which is incorporated into these Terms by reference. By using the platform, you agree to the collection and use of information as described in the Privacy Policy.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-dc33b69 elementor-widget elementor-widget-text-editor\" data-id=\"dc33b69\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<h4>8. Third-Party Services and Integrations<\/h4>\nThe platform may offer integrations with or links to third-party services. Abastyan does not control and is not responsible for the content, practices, or terms of any third-party service. Your use of any third-party service is governed by that service&#8217;s own terms and privacy policy. Abastyan is not a party to any agreement between you and a third-party service provider.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-5b2f0a0 elementor-widget elementor-widget-text-editor\" data-id=\"5b2f0a0\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<h4>9. Disclaimers<\/h4><p><strong>No legal, clinical, or regulatory advice.<\/strong>\u00a0The Abastyan platform provides tools and workflows to support governance and compliance program management. Information made available through the platform \u2014 including regulatory summaries, policy templates, AI-assisted drafts, and workflow outputs \u2014 is provided for informational and operational purposes only. It does not constitute legal, clinical, regulatory, or financial advice. Clients are responsible for ensuring that their compliance programs, policies, and decisions are reviewed and validated by qualified counsel, compliance professionals, and clinical leadership as appropriate.<\/p><p><strong>As-is basis.<\/strong>\u00a0The platform and website are provided &#8220;as is&#8221; and &#8220;as available.&#8221; To the fullest extent permitted by applicable law, Abastyan disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that the platform will meet your specific requirements or that any particular regulatory outcome will result from its use.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-34390a72 elementor-widget elementor-widget-text-editor\" data-id=\"34390a72\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<h4>10. Limitation of Liability<\/h4><p>To the fullest extent permitted by applicable law, Abastyan and ReMyll LLC, and their respective officers, directors, employees, and agents, will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages \u2014 including loss of profits, revenue, data, business opportunities, or goodwill \u2014 arising out of or related to your use of or inability to use the platform or website, even if we have been advised of the possibility of such damages.<\/p><p>Our total aggregate liability to you for any claim arising out of or related to these Terms or your use of the platform, regardless of the theory of liability, will not exceed the greater of (a) the total fees paid by your organization to Abastyan in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100). Liability arising from a paid services engagement is further governed by the limitations set forth in the executed services agreement, which may supersede this provision.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-2f5a65b2 elementor-widget elementor-widget-text-editor\" data-id=\"2f5a65b2\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<h4>11. Indemnification<\/h4><p>You agree to indemnify, defend, and hold harmless Abastyan and ReMyll LLC and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys&#8217; fees) arising out of or related to: (a) your use of the platform or website in violation of these Terms; (b) content you upload or store in the workspace, including any claim that such content violates applicable law or the rights of a third party; or (c) your violation of any applicable law or regulation.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-6b28ccae elementor-widget elementor-widget-text-editor\" data-id=\"6b28ccae\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<h4>12. Term and Termination<\/h4><p><strong>Website access.<\/strong>\u00a0These Terms apply whenever you access the Abastyan website and remain in effect until terminated. Abastyan reserves the right to terminate or restrict your access to the website at any time, with or without notice, for any reason.<\/p><p><strong>Platform access.<\/strong>\u00a0Access to the platform is governed by the applicable services agreement and continues for the term of that agreement. Abastyan may suspend or terminate platform access for material violation of these Terms or the services agreement, with notice where practicable. Upon expiration or termination of a services agreement, platform access is deactivated and client content is handled in accordance with the terms of that agreement.<\/p><p>Provisions of these Terms that by their nature should survive termination \u2014 including intellectual property rights, disclaimers, limitations of liability, indemnification, and dispute resolution \u2014 will survive.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-d70e8b0 elementor-widget elementor-widget-text-editor\" data-id=\"d70e8b0\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<h4>13. Governing Law and Disputes<\/h4><p>These Terms and any dispute arising out of or related to them or your use of the platform or website will be governed by the laws of the United States and the laws of the state in which ReMyll LLC is organized, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts in that state for resolution of any such dispute, except where the applicable services agreement specifies an alternative dispute resolution mechanism.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-6525a5c elementor-widget elementor-widget-text-editor\" data-id=\"6525a5c\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<h4>14. Changes to These Terms<\/h4><p>We may update these Terms from time to time. When we do, we will update the &#8220;Last reviewed&#8221; date below. For material changes, we will provide notice through the platform or by email to client contacts. Continued access to or use of the website or platform after any update constitutes acceptance of the revised Terms. If you do not agree to an update, you should cease use of the platform and contact us to discuss your services agreement.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-f69dd15 elementor-widget elementor-widget-text-editor\" data-id=\"f69dd15\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<h4>15. General<\/h4><p><strong>Entire agreement.<\/strong>\u00a0These Terms, together with the Privacy Policy and any executed services agreement, constitute the entire agreement between you and Abastyan with respect to the subject matter hereof and supersede all prior agreements and understandings.<\/p><p><strong>Severability.<\/strong>\u00a0If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.<\/p><p><strong>No waiver.<\/strong>\u00a0Our failure to enforce any provision of these Terms will not constitute a waiver of our right to enforce it in the future.<\/p><p><strong>Assignment.<\/strong>\u00a0You may not assign your rights or obligations under these Terms without our prior written consent.
